Item 8.01. Other Events.

On March 8, 2012, Steven J. Tober submitted his resignation as Chief Executive Officer of American InterContinental University (“AIU”). The company was conducting an internal investigation into Mr. Tober’s conduct relating to human resource policies at the time of his resignation.

An interim Chief Executive Officer of AIU is expected to be named at the next regularly scheduled AIU Board of Trustees meeting, which is scheduled for March 14-15, 2012.
