On August 21, 2017, pursuant to the terms of the Agreement and Plan of Merger, dated as of April 10, 2017, by and among Alliance, Tahoe Investment Group Co., Ltd., an entity organized under the laws of the Peoples Republic of China (Tahoe), THAIHOT Investment Company Limited, an exempted company incorporated under the laws of the Cayman Islands and indirect wholly owned subsidiary of Tahoe, THAIHOT Investment Company US Limited, a Delaware corporation and indirect wholly owned subsidiary of Tahoe (Parent), and Alliance Healthcare Services Merger Sub Limited, a Delaware corporation and wholly owned subsidiary of Parent (Sub), Sub merged with and into Alliance, and Alliance became a wholly owned subsidiary of Parent (the Merger). As a result of the Merger, any offering pursuant to the Registration Statements has been terminated and Alliance hereby terminates the effectiveness of the Registration Statements. In accordance with an undertaking made by Alliance in the Registration Statements to remove from registration, by means of a post-effective amendment, any of the securities registered under each Registration Statement that remain unsold at the termination of the offerings, Alliance hereby removes from registration the securities registered but unsold under the Registration Statements, if any.
