Item 8.01. Other Events and Regulation FD Disclosure
On May 23, 2007, Donaldson Company, Inc. (the “Company”) announced that the Company’s Board of Directors declared a regular cash dividend of 9 cents per share, payable June 15, 2007 to shareholders of record as of June 1, 2007. As of April 30, 2007, there were approximately 79,300,000 shares outstanding. The current declaration is the 207th consecutive quarterly cash dividend paid by Donaldson over a time span of 51 years.
