Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)

On November 5, 2008, Rockwood Holdings, Inc. (the “Company”) received notice from Perry Golkin of his intention to resign from the Board of Directors of the Company effective as of November 5, 2008.  Effective as of Mr. Golkin’s resignation, a majority of the members of the Board of Directors of the Company will be independent, in accordance with the requirements of the New York Stock Exchange.
