Item 8.01.    Other Events
 
On June 1, 2006 UMB Financial Corporation (the "Company") issued a press release announcing that the Company had signed a definitive agreement with Mountain States Bancorporation of Denver, Colorado under which the Company would acquire Mountain State Bancorporation. The purchase price is projected to be $83 million in cash. A copy of the press release is attached as Exhibit 99.1
