EXPLANATORY NOTE
Trend Micro Incorporated (the “Registrant”) is filing this Post-Effective Amendment No.1 to Registration Statement on Form S-8 filed on December 15, 2004 (File No. 333-121261) to deregister shares of the Registrant’s common stock relating to options granted under the Trend Micro Incorporated 14th Incentive Plan (the “14th Incentive Plan”).
A total of 689,000 shares issuable pursuant to the 14th Incentive Plan were registered under the Registration Statement.
In connection with the Registrant’s filing of a Form 15F, the Registration Statement is hereby amended to deregister the remaining unissued shares.
