EXPLANATORY NOTE:

 

The Board of Directors of Birks & Mayors Inc. (the “Company”) accepted the resignation of Mr. Peter O’Brien as a (i) director of the Company; (ii) member of the Corporate Governance Committee of the Company; and (iii) member of the Compensation Committee of the Company, effective as of October 15, 2010. To fill the vacancy left by Mr. O’Brien, on October 15, 2010, the Board of Directors appointed Mr. Guthrie J. Stewart as director of the Company. Mr. Stewart will also serve as a member of the Corporate Governance Committee and Compensation Committee. Mr. Stewart is considered by the Board of Directors an independent director in accordance with the NYSE Amex Company Guide. Mr. Stewart was previously a partner in a major Canadian private equity firm and has extensive experience with financing and acquisition processes and corporate governance. Mr. Stewart also has been and currently is a member of a number of other corporate boards and advisory boards.
