Mr. Bradford Crutchfield, a member of the board of directors (the Board) of NanoString Technologies, Inc. (the Company), accepted an offer of employment as an executive of one of the Companys competitors. In accordance with the Companys corporate governance principles adopted by the Board, Mr. Crutchfield submitted his resignation from the Board, effective immediately, and, on October 29, 2014, the Board accepted his resignation. In submitting his resignation, Mr. Crutchfield did not express any disagreement on any matter relating to the Companys operations, policies or practices.
As a result of Mr. Crutchfields resignation, the size of the Companys Board was reduced from six to five members and Mr. Chad Waite, a member of the Board, was appointed to the Boards audit committee to fill Mr. Crutchfields position. Following Mr. Waites appointment to the Boards audit committee, the membership on the three standing committees of the Board is as follows:
