Item 2.02 Results of Operations and Financial Condition.

On February 17, 2009, Genuine Parts Company issued a press release announcing its results of operations for the fourth quarter and fiscal year ended December 31, 2008. A copy of the press release is furnished with this Current Report on Form 8-K as exhibit 99.1.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 16, 2009, the Board of Directors of Genuine Parts Company announced the retirement of Directors Lawrence G. Steiner and Richard W. Courts, II effective as of the date of the annual meeting of Shareholders to be held on April 20, 2009. Mr. Steiner is the retired Chairman of the Board of Directors of Ameripride Services Inc. and has served on our Board since 1972. Mr. Courts is the Chairman of the Board of Directors of Atlantic Investment Company and has served as a Director of the Company since 1998.
