Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 4, 2010, the registrant’s board of directors approved amended and restated bylaws for the registrant, a copy of which is filed as Exhibit 3.1 to this current report and incorporated herein by reference.  The newly amended and restated bylaws are a complete rewriting of the prior bylaws and, therefore, it is not practical to summarize the changes from the prior bylaws.
