the corresponding period for the last fiscal year will be reflected by the
earnings statements to be included in the subject report or portion

The net loss for the Six Months ended 07/31/02 is anticipated to be
approximately $52,600, which represents a decrease in loss of approximately
$75,400 (approximately 58.9%) from the net loss of $128,000 for the Six months
ended 07/31/01. We believe that this increase in the results of operations was
due primarily to:
(i) an increase in license and maintenance fees of approximately $7,600; a
decrease in consulting and other fees of $50,600, resulting in a decrease in
total revenues of approximately $43,000;
(ii) a decrease in expenses of approximately $137,700, primarily due to
decreased software development costs and lower general and administrative
expenses; and
(iii) a decrease in administrative charges of approximately $19,300 from our
affiliate Freetrek, Inc.
The net loss for the Quarter ended 07/31/02 is anticipated to be approximately
$8,900, which represents a decrease in loss of approximately $5,800
(approximately 39.9%) from the net loss of $14,700 for the Quarter ended
07/31/01. We believe that this increase in the results of operations was due
primarily to:
(i) a decrease in license and maintenance fees of approximately $8,700; a
decrease in consulting and other fees of $32,500, resulting in a decrease in
total revenues of approximately $41,200;
(ii)a decrease in expenses of approximately $69,400, primarily due to decreased
software development costs and lower general and administrative expenses; and
(iii) a decrease in administrative charges of approximately $22,400 from our
affiliate Freetrek, Inc.
