Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
On August 22, 2006, MediaBay, Inc. (the “Company”) received notice from The Nasdaq Stock Market indicating that, based on the Company’s Form 10-Q for the quarter ended June 30, 2006, the Company does not comply with the $10,000,000 stockholders’ equity requirement for continued listing on the Nasdaq Global Market set forth in Marketplace Rule 4450(a)(3).
