This filing relates solely to preliminary communications made before the commencement of a planned tender offer by PLLL Acquisition Co., a Delaware corporation (“Merger Subsidiary”), a wholly-owned subsidiary of PLLL Holdings, LLC, a Delaware limited liability company (“Parent”), for all of the outstanding common stock of Parallel Petroleum Corporation, a Delaware corporation (the “Company”), including the associated preferred stock purchase rights issued pursuant to the Rights Agreement, dated as of October 5, 2000, as amended by the First Amendment to the Rights Agreement, dated as of September 15, 2008, between the Company and Computershare Trust Company, N.A., as rights agent (together with the shares of the Company’s common stock, the “Shares”) to be commenced pursuant to the Agreement and Plan of Merger, dated September 15, 2009, among Parent, Merger Subsidiary and the Company. Parent is owned by affiliates of Apollo Global Management, LLC.

The press release filed herewith as Exhibit 99.1 is neither an offer to purchase nor a solicitation of an offer to sell securities. The tender offer for the outstanding Shares of the Company described in this filing has not commenced. At the time the offer is commenced, Merger Subsidiary and Parent will file a tender offer statement on Schedule TO with the Securities and Exchange Commission (“SEC”), and the Company will file a solicitation/recommendation statement on Schedule 14D-9, with respect to the offer.
