Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On September 23, 2010, Nautilus, Inc. (the Company) was notified by the New York Stock Exchange (the NYSE) that it had fallen below the NYSEs continued listing standards relating to minimum average global market capitalization and total stockholders equity. The NYSEs continued listing standards require that either the Companys average global market capitalization be not less than $50 million over a consecutive 30 trading-day period or the Companys total stockholders equity be not less than $50 million.
Under applicable NYSE procedures, the Company has 45 days from receipt of the notification to submit a plan to the NYSE to demonstrate its ability to achieve compliance with the continued listing standards within 18 months. The Company intends to submit such a plan. During this time, the Companys common stock will continue to be listed on the NYSE, subject to compliance with other NYSE continued listing requirements.
