On November 15, 2010, Endo Pharmaceuticals Holdings Inc. issued a press release announcing a private offering of up to $400,000,000 aggregate principal amount of senior unsecured notes due 2020, subject to market conditions. A copy of this press release is filed herewith as Exhibit 99.1 and incorporated herein by reference.
The notes and the related guarantees have not been registered under the Securities Act of 1933, as amended, and may not be offered in the United States absent registration or an applicable exemption from registration requirements.
