Attachment A

All percentages and amounts described below are estimates as of the date of the filing of the attached Form 12b-25. We anticipate significant changes in the results of operations for the year ended January 31, 2010 compared to the corresponding period in 2009. We currently estimate that for the year ended January 31, 2010, we will report a net income of $1.0 million. This compares to a net loss of $7.9 million for the corresponding period of the prior year. The anticipated increase in net income over the prior fiscal year is primarily attributable to (1) an increase in a gain on debt forgiveness of $2.3 million, and (2) a decrease in operating expense of approximately $3.2 million, which resulted from the settlement of outstanding liabilities and a reduction in compensation expense. The foregoing estimates of our results of operations for the year ended January 31, 2010 and the corresponding period in 2009 are subject to change pending the completion by Stonefield Josephson Inc., our independent auditors, of their audit of our financial statements for the year ended January 31, 2010.
