Item 8.01 OTHER EVENTS

On October 26, 2017, Glacier Bancorp, Inc., Kalispell, Montana (“GBCI”), and its wholly owned subsidiary, Glacier Bank, entered into a Plan and Agreement of Merger (the “Merger Agreement”) with Inter-Mountain Bancorp., Inc. (“IMB”) and its wholly owned subsidiary, First Security Bank. Under the terms of the Merger Agreement, IMB will merge with and into GBCI, with GBCI as the surviving entity (the “Holding Company Merger”). Immediately thereafter, First Security Bank will merge with and into Glacier Bank, with Glacier Bank surviving as a wholly owned subsidiary of GBCI.

Concurrently with the execution of the Merger Agreement, the directors and certain shareholders of IMB entered into voting agreements with GBCI pursuant to which such directors and shareholders have agreed, among other things, to vote their shares of IMB common stock in favor of the proposed transactions contemplated by the Merger Agreement.

Subject to the terms and conditions of the Merger Agreement, at the date and time when the Holding Company Merger becomes effective, the outstanding common shares of IMB will be converted into the right to receive shares of GBCI common stock. Based on the closing price of $37.26 for GBCI shares on October 26, 2017 (the date the Merger Agreement was executed) and the expected per share stock consideration of 22.841 shares of GBCI common stock for each share of IMB common stock, the transaction would result in the issuance of 4,654,151 shares of GBCI stock with an aggregate value of $173.4 million, subject to certain adjustments based on the price of GBCI common stock for a specified period before closing.

Consummation of the transaction is subject to required regulatory approvals, IMB shareholder approval, and other customary conditions of closing. The transaction is presently expected to close in the first quarter of 2018.
