Item 1.01. Entry into a Material Definitive Agreement
On March 20, 2006, the Compensation and Benefits Committee of the Board of Directors of
Chico’s FAS, Inc. (the “Company”) amended its 2005 Cash Bonus Plan in order to extend its
application to the Company’s 2006 fiscal year.
The amendment is attached hereto as Exhibit 10.1.
