(1)	Each performance stock unit represents a contingent right to receive one share of the Issuer's common stock and will vest upon the achievements of certain performance levels based on the Issuer's (i) return on invested capital, as measured from January 1, 2017 to December 31, 2019, and (ii) annual compound total shareholder return, as measured from February 21, 2017 to February 20, 2020. The number of shares reported in column 7 may range from zero to a maximum number of 281,955 shares.
(2)	Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock and will vest on February 20, 2020, subject to continuous service.
(3)	1/3 of the option shares will vest annually on February 21 over the next three years, subject to continuous service as of each such date.
