Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective February 21, 2018, the Board of Directors (the “Board”) of Legg Mason, Inc. (“Legg Mason”) approved Amended and Restated Bylaws of Legg Mason (the “Bylaws”) adopting a “proxy access” provision. The proxy access provision permits a shareholder or group of up to 20 shareholders owning 3% or more of Legg Mason’s outstanding common stock continuously for at least three years to nominate a number of candidates for election to the Board not to exceed the greater of 2 directors or 20% of the number of directors then in office, and requires the inclusion of such candidate(s) in the Company’s proxy materials for the meeting at which such election will be held, provided that the stockholder(s) and the nominee(s) satisfy the requirements specified in the Bylaws.

The Bylaws also make other changes to conform with, and implement, the adoption of the proxy access provision. This summary of the bylaw amendments is qualified in its entirety by reference to the full text of the Bylaws, which are filed as Exhibit 3.1 to this Current Report on Form 8-K and are incorporated by reference into this filing.
