ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

     On April 23, 2013, American Campus Communities, Inc. (the “Company”) issued a press release (the “Earnings Release”) announcing, among other things, earnings for the quarter ended March 31, 2013. The text of the Earnings Release is included as Exhibit 99.1 to this Current Report.

     The Earnings Release is furnished pursuant to Item 2.02 and shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act"), or subject to the liabilities of that Section. The information in this Current Report shall not be incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

ITEM 7.01 REGULATION FD DISCLOSURE

     On April 23, 2013, the Company disclosed a supplemental analyst package in connection with its earnings conference call for the quarter ended March 31, 2013 which took place on April 24, 2013. A copy of the supplemental analyst package is attached hereto as Exhibit 99.2.
