Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 9, 2009, Lawson Products, Inc. ("Lawson") issued a press release announcing the appointment of Harry Dochelli as Chief Operating Officer, effective immediately. Mr. Dochelli, who joined Lawson in March 2008 as Executive Vice President – Sales & Marketing added IT to his role in September 2009. He will now assume the additional responsibility for the day-to-day operations of the company, also overseeing Human Resources and Operations & Supply Chain. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
