Item 8.01 Other Events.
On December 27, 2007 the Company entered into a Transfer Agency and Service Agreement
appointing Computershare Trust Company, N.A. (Computershare) and Computershare, Inc. to be the
new transfer agent and registrar for all shares of the Companys common stock, par value $0.10 per
share, and the Companys preferred stock, par value $0.10 per share, effective as of December 18,
2007 and replacing Signature Stock Transfer Inc. as transfer agent and registrar for the Companys
common stock, par value $0.10 per share.
