Item 1.01 Entry into a Material Definitive Agreement.
On February 2, 2006, NCI Building Systems, Inc. (the ”Company”) entered into a letter agreement governing the terms of employment for Richard F. Klein, President and Chief Operating Officer of the Company’s metal coil coating division. Mr. Klein resigned from all positions as an officer of the Company, but will remain an employee of the Company though December 9, 2007 to assist as needed during the transition of his responsibilities to his successor. The terms of the letter agreement, a copy of which is being filed as Exhibit 10.1 to this Report, are hereby incorporated by reference in their entirety.
