(a) On March 17, 2005,Commercial Bankshares, Inc. (the "Company") dismissed PricewaterhouseCoopers LLP ("PWC") as its independent registered certified public accountants. The decision was approved by the Audit Committee of the Board of Directors of the Company. The reports of PWC on the Company's financial statements for the fiscal years ended December 31, 2003 and 2004 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principle. During the Company's fiscal years ended December 31, 2003 and 2004 and the subsequent interim period preceding PWC's dismissal, the Company had no disagreements with PWC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of PWC, would have caused PWC to make reference to the subject matter of the disagreements in connection with its report on the financial statements for such years and through March 17, 2005. During the Company's fiscal years ended December 31, 2003 and 2004 and the subsequent interim period preceding PWC's dismissal and through March 17, 2005, there were no "reportable events" as such term is defined in Item 304(a)(1)(v) of Regulation S-K. The Company has provided PWC a copy of the disclosures in this Form 8-K and has requested that PWC furnish it with a letter addressed to the Securities and Exchange Commission (the "SEC") stating whether or not PWC agrees with the Company's statements in this Item 4.01(a). A copy of the letter dated March 22, 2005 furnished by PWC in response to that request is filed as Exhibit 16.1 to this Form 8-K.
