Item 2.02                      Results of Operations and Financial Condition.
 
On January 7, 2010, Fossil, Inc. (the “Company”) issued a press release announcing that it anticipates its fourth quarter 2009 net sales and net earnings will exceed the high end of its previous estimates provided on November 10, 2009 in conjunction with its third quarter fiscal 2009 results.  A copy of the press release is attached hereto as Exhibit 99.1.
