(the "Company") issued the press release attached hereto as Exhibit 99.1 announcing that during the first quarter of 2003 it had or would be closing two manufacturing plants and one sales branch as part of the restructuring program announced in October 2001. The Company expects to record a total charge of approximately $0.6 million during the first and second quarters of 2003 attributable to the write-down of assets to their net realizable value and severance and plant closure costs.
