As a result of the merger with Chemical & Equipment Specialties, Inc., which
closed on October 31, 2001 and significantly increased the complexity of the
Company's financial reporting requirements, Registrant needs additional time
to properly prepare financial statement disclosures and analysis of operations
for inclusion in its Form 10-KSB filing for the year ended December 31, 2001.
