Item 2.02.
Results of Operations and Financial Condition.
On May 5, 2008, China Security & Surveillance Technology, Inc. (the “Company”) issued a press release announcing its financial results for the fiscal quarter ended March 31, 2008. A copy of the press release is furnished as Exhibit 99.1 hereto.
In accordance with General Instruction B.2 of Form 8-K, the information in this Report, including Exhibit 99.1 hereto, shall not be deemed to be “filed” for purposes of Section 18 of the Exchange Act, or otherwise subject to the liabilities of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 9, 2008, the Company issued a press release announcing that Shufang Yang resigned as the President of the Company on and effective May 6, 2008. A copy of the above-referenced press release is being filed as Exhibit 99.2 to this Current Report on Form 8-K.
Mr. Yang’s resignation was due to personal reasons and not because of any disagreement with the Company.
