(1) | Assuming a recipient's continued employment (or death or disability while employed) and the satisfaction of certain performance goals is achieved, these awards would vest at the end of a three-year performance period that begins on January 1, 2014 and ends on the last NYSE trading day of 2016, Friday, December 30, 2016 (the "Performance Period"). The restricted performance shares will vest only upon the Company's return on invested capital being in the top decile of the Company's peers as published by Bloomberg upon the close of the NYSE market on the last day of the Performance Period and the shares shall fully vest if that criterion is met. If it is not met, then no shares shall vest and the award shall be forfeited. |
