Concurrent Private Placement: | Concurrent with the closing of this offering, pursuant to an Exchange Agreement dated the date hereof, we will issue to a qualified institutional buyer (QIB), as defined in Rule 144A of the Securities Act, $22,161,000 aggregate principal amount of 4.50% Convertible Senior Notes due 2022 in exchange for our outstanding 2018 Notes and 2020 Notes held by such investor.
