The distribution would be achieved through a "split-off" exchange offer that provides IMS shareholders with the opportunity to exchange, on a tax-free basis, some or all of their shares of IMS common stock for shares of Cognizant common stock held by IMS. IMS currently owns 11.3 million shares of Cognizant, representing approximately 56 percent of the outstanding shares of Cognizant.
