Item 5.02 Departure of Direcotrs of Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On December 11, 2006, Altair Nanotechnologies Inc. (the “Company”) and Roy Graham, the Vice President, Marketing for the Company, reached a mutual decision to cease Mr. Graham’s employment on December 31, 2006 to pursue opportunities in the alternative energy market including a consulting relationship with the Company.
