Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

As previously reported on a Form 8-K filed on March 14, 2011, Michael W. Zellner was appointed to serve as a director of FormFactor, Inc., effective as of April 13, 2011.

 

Pursuant to Instruction 2 of Item 5.02, this amendment to the previously-filed Form 8-K is being filed to report that, effective May 19, 2011, Mr. Zellner was appointed chairperson of the Audit Committee.  Lothar Maier, who served as chairperson of the Audit Committee prior to Mr. Zellner’s appointment to committee, remains a member of the committee.
