Item 3.03.  Material Modifications to Rights of Security Holders.

On June 19, 2003, the Company closed a private placement of shares of its common stock and warrants to purchase common shares.  From that sale, there currently remain eleven warrant holders who hold outstanding warrants for 225,115 shares of common stock.  By their original terms, the warrants were to expire on June 17, 2008.  On June 16, 2008, our Board of Directors extended that expiration date to December 31, 2008.  Our Board of Directors has extended the expiration date again to December 31, 2009.  This extension is effective December 31, 2008.
