Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 14, 2014, the Compensation Committee of the Board of Directors of Enphase Energy, Inc. (the “Company”) approved the 2014 base salaries (effective retroactively to June 1, 2014) and established new target cash bonus opportunities related to the fiscal year 2014 for two of the Company’s named executive officers, as set forth in the table below.

The target bonus opportunity was established in connection with the Company’s 2014 cash performance bonus program, which was approved by the Compensation Committee of the Board of Directors in March 2014 and filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K (File No. 001-35480) filed with the Securities and Exchange Commission on March 12, 2014 and incorporated herein by reference.
