Other Events. ------------ Notes Offering -------------- On January 16, 2002, Continental Airlines, Inc., a Delaware corporation (the "Company"), entered into an Underwriting Agreement, filed herewith as Exhibit 1.1 and incorporated herein by reference, with the underwriters named therein with respect to the issue and sale by the Company (the "Offering") of up to $201,250,000 aggregate principal amount of 4.50% Convertible Notes due 2007 (the "Notes") (including $26,250,000 aggregate principal amount of the Notes subject to the underwriters' over-allotment option) in an underwritten public offering. The Notes are convertible into shares of the Company's Class B common stock at the option of holders any time prior to maturity (unless previously redeemed or repurchased) at a price of $40 per share (equal to a conversion rate of 25 shares per $1,000 principal amount of Notes), subject to adjustment. The Company expects to close the offering in respect of $175,000,000 aggregate principal amount of the Notes on January 23, 2002.
