NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD. On August 22, 2005, Michael Baker Corporation (the "Company") received a notice from the American Stock Exchange (Amex) advising that the Company is not in compliance with sections 134 and 1101 of the Amex Company Guide for failing to timely file with the Securities and Exchange Commission its Quarterly Report on Form 10-Q for the quarter ended June 30, 2005, which was due on August 9, 2005. The compliance letter gives the Company until August 31, 2005, to submit a plan of action to Amex to bring the Company into timely compliance with the Amex requirements. A copy of the press release issued by the Company today announcing receipt of the notice is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
