Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
Effective December 28, 2007, Andrew I. Sirkis resigned as a Vice President of Redwood Trust, Inc. to pursue other interests. Mr. Sirkis has agreed to serve as a consultant to the Company through March 31, 2008 to assist in the orderly transition of his responsibilities.
