The Companys Amended and Restated Certificate of Incorporation currently authorizes the issuance of up to 117,500,000 shares of capital stock, consisting of 112,500,000 shares of common stock, par value $0.001 per share, and 5,000,000 shares of preferred stock, par value $0.001 per share. An increase in the number of authorized shares of the Companys common stock to 225,000,000 shares will also increase the Companys total authorized capitalization to 230,000,000 shares of capital stock, which includes the Companys previously authorized 5,000,000 shares of preferred stock.
This summary is qualified in its entirety by reference to Proposal No. 2 in the Companys proxy statement for the 2014 Annual Meeting of Stockholders and Appendix A thereto. You are urged to read the Companys proxy statement by accessing a copy of the proxy statement by following the instructions in this Notice Regarding the Availability of Proxy Materials for the Shareholder Meeting to Be Held on June 11, 2014.
