Item 1.01. Entry into a Material Definitive Agreement.
On December 28, 2018, CMS Energy Corporation (CMS Energy), entered into a $300 million unsecured Term Loan Credit Agreement (the Agreement) with Mizuho Bank, Ltd. and U.S. Bank National Association (the Banks). The Agreement has a 364-day term and will expire in 2019. CMS Energy expects borrowings to be used for working capital, general corporate purposes and to refinance certain outstanding debt.
The Banks have provided banking and underwriting services to CMS Energy in the ordinary course of business.
The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by the provisions of the Agreement, which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
