This Amendment No.3 (this "Amendment") amends and supplements the Tender Offer Statement on Schedule TO (as amended or supplemented, the "Schedule TO") that was originally filed with the Securities and Exchange Commission (the "SEC") on September 22, 2010 by Priam Acquisition Corporation, a Delaware corporation ("Purchaser") and a wholly-owned, direct or indirect, subsidiary of Hewlett-Packard Company, a Delaware corporation ("HP"), and HP, and amended by that certain Amendment No. 1 filed with the SEC on October 5, 2010 and that certain Amendment No. 2 filed with the SEC on October 14, 2010 ("Amendment No. 2"). The Schedule TO relates to the offer by Purchaser to purchase all outstanding shares of common stock, par value $0.00001 per share (the "Shares") of ArcSight, Inc., a Delaware corporation ("ArcSight"), at a price of $43.50 per Share, net to the seller in cash without interest thereon and less any required withholding taxes, upon terms and subject to the conditions set forth in the Offer to Purchase dated September 22, 2010 (the "Offer to Purchase") and in the related Letter of Transmittal (which together with any amendments or supplements thereto, collectively constitute the "Offer"), copies of which were filed with the Schedule TO as Exhibits (a)(1)(A) and (a)(1)(B), respectively. Capitalized terms used and not defined in this Amendment have the meanings assigned to such terms in the Offer to Purchase.
Except as otherwise set forth below, the information set forth in the Schedule TO remains unchanged and is incorporated by reference into this Amendment.
Item 11. Additional Information.
The paragraph of Item 11 of the Schedule TO amended and restated pursuant to Amendment No. 2 is hereby further amended and restated in its entirety as follows:
(a)(3) On October 1, 2010, we received early termination of the mandatory waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. On October 13, 2010, we received early termination of the mandatory waiting period under Germany's Act against Restraints of Competition. On October 19, 2010, the mandatory waiting period under Austria's Cartel Act expired. Accordingly, the Antitrust Condition has been satisfied in its entirety. The Offer continues to be subject to the other conditions set forth in Section 14"Conditions to the Offer" of the Offer to Purchase, including, among other things, the satisfaction of the Minimum Condition.
