CLAYTON HOLDINGS, INC. ANNOUNCES EARLY TERMINATION
OF HART-SCOTT-RODINO WAITING PERIOD
SHELTON, Conn.,June 5, 2008Clayton Holdings, Inc. (NASDAQ: CLAY) announced today that it has received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the previously announced definitive merger agreement under which an affiliate of a fund managed by Greenfield Partners, LLC, a private equity firm, will acquire all of the outstanding common shares of Clayton Holdings for $6.00 per share, or approximately $134 million, plus the repayment of $23.9 million of debt.
