Item 8.01.                                          Other Events.

 

On October 29, 2009, the Registrant closed its previously announced private placement transaction with all of the members of its board of directors, several of its executive officers and certain other accredited investors, pursuant to which such investors purchased an aggregate of 393 shares of the Registrant’s Series A Convertible Preferred Stock at a purchase price of $100,000 per share, yielding aggregate gross proceeds to the Registrant of $39.3 million.  A copy of the press release announcing the closing of the private placement is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
