Item 2.02 Results of Operations and Financial Condition
On March 19, 2010 Imperial Industries, Inc. issued a press release announcing its financial results for the fourth quarter and year ending December 31, 2009. The press release also reported that the Company’s independent registered public accounting firm’s report on its financial statements for the year ended December 31, 2009 included an explanatory paragraph regarding the Company’s ability to continue as a going concern. The press release attached hereto as Exhibit 99.1 is incorporated herein by reference.
