On January 29, 2008, Camden National Corporation amended and restated its Bylaws (the “Amended and Restated Bylaws) to require directors of Camden National Corporation to own a minimum of $50,000.00 of Camden National Corporation common stock. The Amended and Restated Bylaws are attached as Exhibit 99.1 to this Current Report on Form 8-K.
