PART III NARRATIVE
Manitex International, Inc. (the Company) has determined that it is unable to file its Annual Report on Form 10-K for the year ended December 31, 2017 (the Form 10-K) by March 16, 2018, the due date for such filing. As previously announced in the Companys Current Report on Form 8-K filed on November 6, 2017, on November 2, 2017, the Audit Committee of the Board of Directors of the Company, in consultation with the Companys management and UHY LLP, the Companys independent registered public accounting firm, determined that the Companys previously issued financial statements for the quarters ended March 31, June 30 and September 30, 2016, the year ended December 31, 2016 and the quarters ended March 31 and June 30, 2017 included in the Companys Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q for such periods and together with all three, six and nine-month financial information contained therein (collectively, the Non-Reliance Periods) can no longer be relied upon. The Company intends to file the restated annual and quarterly financial statements for the Non-Reliance Periods (the Restated Filings), as well as its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2017 (the Form 10-Q), as soon as practicable. However, the Company is still in the process of preparing the Restated Filings and the Form 10-Q and, as a result, the Company cannot file the Form 10-K by the due date.
