Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2010, Validus Holdings, Ltd. ("Validus" or the "Company") issued a press release announcing that Joseph E. (Jeff) Consolino has been named President of the Company, to be effective as of November 15, 2010. Mr. Consolino replaces George P. Reeth, who has recently announced his intention to step down as President of the Company. Mr. Consolino will continue to serve as the Chief Financial Officer of Validus, the position he has held since 2006.

Mr. Consolino has served as Executive Vice President and Chief Financial Officer of Validus since March 2006. He has over 17 years of experience in the financial services industry, specifically in providing investment banking services to the insurance industry, and most recently served as a managing director in Merrill Lynch’s Financial Institutions Group specializing in insurance company advisory and financing transactions. Mr. Consolino serves as a Director of National Interstate Corporation, a property and casualty company based in Ohio and of AmWINS Group, Inc., a wholesale insurance broker based in North Carolina.
