Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 11, 2014, Saia, Inc. issued a press release announcing that James Darby, Vice President Finance and Chief Financial Officer, plans to retire after more than 30 years of service including the last 14 years with Saia, Inc. Mr. Darby will continue in his current role until a successor is named and his role is transitioned, which is expected to occur before the end of the year. The search for his successor is in process. A copy of the press release is attached as Exhibit 99.1 to this Report on Form 8-K.
