Check the following box if the filing is a final amendment reporting the results of the tender offer: [X] TENDER OFFER This Amendment No. 4 to Issuer Tender Offer Statement on Schedule TO (the "Statement") is the final amendment being filed with the United States Securities and Exchange Commission (the "Commission") by PerkinElmer, Inc., a Massachusetts corporation ("PerkinElmer"), in connection with PerkinElmer's offer to purchase for cash, on the terms and subject to the conditions set forth in the Offer to Purchase, dated November 29, 2002 (the "Offer to Purchase"), and Letter of Transmittal (the "Letter of Transmittal" and, together with the Offer to Purchase, the "Offer"), any and all of PerkinElmer's outstanding zero coupon convertible debentures due August 7, 2020 (the "Debentures"). Copies of the Offer to Purchase and the Letter of Transmittal are filed as exhibits (a)(1)(i) and (a)(1)(ii), respectively, to the Tender Offer Statement on Schedule TO originally filed with the Commission on November 29, 2002. This Amendment No. 4 amends the Schedule TO in order to report the final results of the Offer. The Offer expired at 12:00 midnight, New York City time, on Friday, December 27, 2002. Pursuant to the Offer, $378,709,750 principal amount at maturity of zero coupon convertible debentures due August 7, 2020 were validly tendered and not withdrawn prior to the expiration of the Offer, all of which were accepted for payment by PerkinElmer on December 28, 2002.
